MPWR GPT License Terms 

By accessing or using MoxieGuide:  Activate Your Superpowers AND, OR, MoxieGuide:  Activate Your Business’s Superpowers or other AI tools ("Licensed Materials") provided by MPWRSource, LLC, you (“Licensee”) agree to the following terms:

1. License Grant- MPWR grants Licensee a non-exclusive, non-transferable, and revocable license to use the Licensed Materials for personal or internal use, subject to these terms.
2. No Redistribution- Licensee agrees not to share, distribute, sublicense, or otherwise make the Licensed Materials available to any third party without MPWR’s prior written consent.
3. No Warranty / Use at Own Risk- The Licensed Materials are provided “as-is” and without warranty of any kind. MPWR makes no guarantees regarding accuracy, suitability, or performance. Licensee assumes all risk arising from use of the Licensed Materials.
4. Limitation of Liability- To the maximum extent permitted by applicable law, MPWR, its affiliates, officers, directors, employees, agents, licensors, and partners shall not be held liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with the use, inability to use, or misuse of the Licensed Materials, whether based on contract, tort (including negligence), strict liability, or any other legal or equitable theory, even if MPWR has been advised of the possibility of such damages.

MPWR's liability for any claim arising under or related to this agreement shall in no event exceed the amount paid by the licensee, if any, for access to the Licensed Materials during the 12-month period immediately preceding the event giving rise to such claim.

This limitation applies regardless of whether the alleged damages arose from use of the Licensed Materials in accordance with the license or in violation of its terms. The parties acknowledge and agree that the limitations of liability and the allocation of risk set forth in this clause are an essential element of the bargain between the parties, without which MPWR would not have entered into this agreement.

5. Compliance with Platform Policies- Licensee is solely responsible for ensuring that their use of the Licensed Materials complies with all applicable terms and policies of OpenAI, ChatGPT, or any other relevant platform, including but not limited to Terms of Service, Community Guidelines, and Acceptable Use Policies.
6. No Endorsement or Affiliation- Use of the Licensed Materials does not imply any endorsement, partnership, or official affiliation with MPWR or OpenAI.
7. Modifications and Termination- MPWR reserves the right to modify or revoke this license at any time. Continued use of the Licensed Materials after changes constitutes acceptance of the updated terms. 

MPWR may terminate this license immediately if Licensee breaches any of these terms, uses the Licensed Materials in a manner inconsistent with the intended purpose, violates any applicable law or third-party platform policy, or engages in conduct that MPWR determines may harm its reputation or operations.

Upon termination, the Licensee must immediately cease all use of the Licensed Materials and destroy or delete any copies in their possession or control. Termination shall not limit MPWR’s rights to seek any legal or equitable remedies, nor shall it relieve the Licensee of any obligations that survive termination, including but not limited to Sections 2, 3, 4, and 6 of this agreement.
